Introduction to the Proxy Events page 

A proxy is an individual authorized to vote on behalf of another party. The proxy does not have to be physically present at the annual shareholder's meeting.

A European Union proxy event is issued for a company whose:

  1. Office is registered in a European Union member state
  2. Securities are traded on the European Union's regulated markets

The Proxy Events landing page, available via the Corporate Actions page in Schwab Advisor Center®, provides a list of European Union proxy events impacting securities held in your client account(s).

  • View upcoming and current European Union proxy events impacting your client
  • View issuer materials for upcoming European Union proxy events
  • Cast your vote for European Union proxy events on behalf of your client (if applicable)
    • If you are an existing ProxyEdge® user, you can cast your vote via ProxyEdge (provided by Broadridge)
  • Subscribe to receive European Union proxy event notification emails

 

Information

  • Your client(s) can delegate to your firm the authority to vote European Union proxy events on their behalf. Click the Vote link next to their upcoming European Union proxy event which directs you to ProxyVote.com (owned and operated by Broadridge). Cast your vote on Broadridge's website and return to Schwab Advisor Center where you can choose to vote on another event, if applicable.
  • Your Firm Security Administrator can view and update the list of firm employees subscribed to receive proxy event notifications. To help mitigate a proxy event from going unvoted, Schwab requires at least one person to always be enabled.

European Union proxy event notifications
Notifications are sent to the email address listed on your Schwab Advisor Center profile.

Types of European Union proxy event notifications Event - Informs you of a newly issued European Union proxy event
Subscribe to European Union proxy event notifications Click Notification Settings found in the upper right-hand corner of the Proxy Events landing page. Choose Enable to subscribe.
Note: You must have Read Access Tooltip to one or more master accounts at your firm and at least one of those masters must be granted delegation of voting authority by one or more of your clients.
Unsubscribe to European Union proxy event notifications Note: You may be restricted from unsubscribing if you are the only person at your firm who is enabled to receive European Union proxy event notifications. To mitigate the risk of a time sensitive event going unnoticed, Schwab requires one person always be enabled.

Why can't I see Corporate Actions in the More drop-down?
If you are unable to see Corporate Actions in the More drop-down, you do not have Read Access security function permission to the master(s) associated to your firm. Contact your Firm Security Administrator if you should have Read Access to one or more of your firms master accounts.

Why can I not see all the master accounts associated with my firm in the master account drop down?
Only master accounts granted Read Access security function permission are available to view. Contact your Firm Security Administrator if you should have Read Access to a master that is not displayed.

Why do I not have the option to subscribe to European Union proxy event notifications?
The Notification Settings link is only available if your client accounts delegated your master with voting authority.

Why do I get an error when I try to unsubscribe from European Union proxy event notifications?
To mitigate the risk of a time sensitive event going unnoticed, Schwab requires one person to always be enabled to receive European Union proxy event notifications. Your Firm Security Administrator has access to subscribe other Schwab Advisor Center users at your firm so you may unsubscribe.

How do I change the email address for delivery of event notifications?
Update your email address on Schwab Advisor Center.

  1. In the Proxy Events landing page > click Notification Settings link in the upper right-hand corner to open a popup window > choose the Profile link.
  2. From any page on Schwab Advisor Center, choose the drop-down next to your name at the top-right of the page > click Profile link.

If you are already subscribed to receive European Union proxy event notifications, you do not need to subscribe again after changing your email address.

 

I am the Firm Security Administrator, why am I receiving notifications?
Schwab auto-enrolled the Firm Security Administrator for all existing firms to mitigate the risk of a time sensitive event going unnoticed.

How can I see who is subscribed to receive European Union proxy event notifications?
Only the Firm Security Administrator can view and unsubscribe users in the Notification Settings link on the Proxy event landing page.

Can I change my vote selection prior to the European Union proxy event due date?
Yes. If you have voting authority, you can click Edit Vote in the Action column repeatedly up to the due date. On the due date of the European Union proxy event, Broadridge will cast the vote selection chosen.

Why is a European Union proxy event showing on the landing page yesterday not there today?
There can be multiple reasons: 

  • The European Proxy Event has expired. Schwab stops displaying European Union proxy events seven days after the voting due date. If you need a record of how proxy events were voted, contact Broadridge directly.
  • The client is no longer linked to your firm.
  • The issuer has cancelled the European Union proxy event.

 

I just voted on a European Union proxy event, why does the Status Description still show received and not voted?
Status Description updates overnight. Your vote is recorded via Broadridge, who sends Schwab the status of your European Union proxy event on a nightly basis. Schwab updates Status Description accordingly.

How can my client(s) delegate to my firm proxy voting authority?

  • New clients must complete the Issuer Communications and Related Actions form to delegate voting decisions to the master account they are associated to.
  • If existing clients need to change their original designation to appoint your firm with voting decisions, they must complete the Issuer Communications form.

 

Is there another way I can vote European Union proxy events on behalf of my client(s)?
Yes, there are two other options:

  1. Go to ProxyVote.com (provided by Broadridge).
  2. Go to ProxyEdge if you are currently enrolled and your client has delegated voting authority to your firm (provided by Broadridge).

 

Are paper notifications sent for European Union proxy events?
No.
